KPS believes that its differentiated investment strategy consistently results in the creation of strong, industry-leading companies.

There are three special situations that we are most interested in:

Corporate Divestitures and Carve-Outs

  • KPS creates new portfolio companies to acquire non-core assets or businesses of large corporations that it believes would benefit from becoming an independent and focused company under its ownership with access to KPS’ experience, global network, capital and resources
  • KPS has extensive experience completing highly complex corporate carve-out on a global scale
  • KPS understands the critical importance — to the acquired business, its customers, vendors, employees and the corporate seller — of successfully executing the separation and establishing a thriving independent company
  • KPS recognizes the imperative to maintain the continuity of operational performance during and after transition, including in the areas of safety, product quality, on-time delivery and customer service

Businesses Acquired in Connection with Restructurings

  • KPS creates new portfolio companies to acquire assets or businesses presented for sale in connection with financial restructurings, whether pursuant to a structured bankruptcy proceeding, or an out-of-court change-of-control transaction
  • KPS creates new portfolio companies to acquire businesses with recurring operating losses, diminishing revenues and market share, and in need of transformational operational change
  • KPS has extensive experience in structuring complex change-of-control restructuring transactions that involve banks, bondholders, other creditor constituencies and stockholders
  • KPS can also provide debtor-in-possession financing or other forms of structured financing in furtherance of obtaining control of a company

Private Sales

  • KPS successfully creates profitable and thriving portfolio companies by acquiring assets or businesses from families, entrepreneurs, and other financial owners seeking to transition ownership
  • KPS provides portfolio companies with the strategic, operational and financial resources to support capital investment, modernization and growth
  • KPS provides portfolio companies with potential access to significant capital to grow
  • KPS is acutely sensitive to the special needs and circumstances involved in the sale of family and entrepreneur-owned companies

The KPS team operates as a cohesive unit through all stages of the transaction process.  Because of the Firm’s deep financial and operational expertise, KPS has demonstrated an ability to provide sellers with speed and certainty of closing.  Sellers transacting with KPS will deal directly with a KPS Partner who can commit the resources of the Firm, allowing for an expeditious completion even for complex acquisitions.

While KPS is an active control investor, the Firm understands that each investment is different, and is willing to structure acquisitions to accommodate a stakeholder interested in retaining an ongoing interest in a divested business.
